Terms of Service

1. Acceptance of Terms

By accessing and using the website and services of 4M Labs Inc. ("4M Labs," "we," "our," or "us"), you accept and agree to be bound by the terms and provision of this Agreement. If you do not agree to abide by these terms, please do not use our services.

2. Description of Services

4M Labs provides product development services including but not limited to:

  • AI and Machine Learning development
  • Web and mobile application development
  • AI automation and workflow systems
  • SaaS product development
  • Fixed-scope project delivery
  • Monthly product engineering retainers
  • Product incubation partnerships

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

3. User Obligations

As a user of our services, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Not use our services for any unlawful purpose
  • Not attempt to gain unauthorized access to any part of our systems
  • Not transmit viruses, malware, or other harmful code
  • Not interfere with or disrupt the integrity or performance of our services

4. Intellectual Property

Our Intellectual Property: All content, designs, code, and other materials created by 4M Labs remain our intellectual property unless explicitly stated otherwise in a written agreement.

Client Deliverables: Upon full payment, clients receive ownership of deliverables specified in their project agreement. Background technologies, frameworks, and tools used remain the property of their respective owners.

Pre-existing Materials: Any materials owned by either party prior to the start of a project remain the property of that party.

5. Payment Terms

Fixed-Price Projects: Payment terms will be specified in the individual project proposal. Typically, a deposit is required to begin work, with remaining payments due upon milestones or project completion.

Retainer Agreements: Monthly retainer clients are billed in advance on a recurring basis. Services are billed at the agreed monthly rate regardless of actual usage.

Product Incubation Partnerships: Terms for product incubation or co-build partnerships are outlined in separate legal agreements.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information received from the other party during the course of the business relationship. This includes but is not limited to:

  • Business strategies and plans
  • Technical data and specifications
  • Customer lists and information
  • Financial information
  • Trade secrets

Confidentiality obligations survive the termination of any agreement between the parties.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 4M LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

8. Warranties and Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." 4M LABS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Indemnification

You agree to indemnify, defend, and hold harmless 4M Labs and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of our services or any violation of these Terms.

10. Termination

Either party may terminate these Terms or any service agreement:

  • For convenience upon written notice
  • For cause if the other party materially breaches these Terms and fails to cure within 30 days

Upon termination, you must cease all use of our services. Provisions regarding intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.

13. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in effect. Our failure to enforce any right or provision does not constitute a waiver of such right.

These Terms constitute the entire agreement between you and 4M Labs regarding our services.
